The MBTN Networking event series has been developed to foster relationship building and to educate entrepreneurs and other stakeholders on key aspects of the investor engagement process.

When fundraising, the term sheet is the document that lays out the terms of the investment and collateral. It details what you as the start-up are giving, and what you are getting in return. Then it lays out the guidelines of how both parties will act to protect the investment.

During this event, you will learn about the common items in a term sheet, and what you should look out for. Some of the term sheet elements we’ll look at during the event will include:

  • Who is issuing the note or stock
  • Type of collateral being offered
  • The valuation
  • Amount being offered
  • Shares and price
  • What happens on liquidation or IPO
  • Voting rights
  • Board seats
  • Conversion options
  • Anti-dilution provisions
  • Investors rights to information
  • Founders obligations
  • Who will pay legal expenses
  • Non-disclosure requirements
  • Rights to future investment
  • Other key points

You should attend this event if you are an entrepreneur or business owner thinking of one day raising outside investor money. After the talk, we will have a comprehensive networking and relationship building session.
